Terms of Service

1. Agreement to Terms

By accessing or using the Forma website (forma.space), the Forma Portal (portal.forma.space), or any related services (collectively, the “Platform”), you agree to be bound by these Terms of Service. If you do not agree, you may not access or use the Platform.

Forma is operated by Forma Space Inc. (“Forma,” “we,” “us,” or “our”), a company incorporated in the Province of Ontario, Canada, with its principal place of business in Vaughan, Ontario.

2. Description of Services

Forma operates a 30,000-square-foot indoor destination in Vaughan, Ontario for the landscape and outdoor living industry. The Platform provides information about Forma, facilitates brand partner display licence inquiries, contractor membership applications, consumer visit registrations, event registrations, and related services.

Forma is a specification and inspiration destination — not a retail store. No products are sold directly on-site by Forma.

3. User Accounts

Certain features of the Platform, including the Forma Portal, require account registration. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Brand Partner Display Licences

Brand partner display space at Forma is provided under separate licence agreements. The terms of any display licence — including fees, duration, display specifications, and obligations — are governed by the individual licence agreement executed between Forma and the brand partner. These Terms of Service do not modify or supersede any executed licence agreement.

5. Contractor Memberships

Contractor access to Forma may require membership registration. Membership tiers, pricing, benefits, and terms are described on the Platform and may be updated from time to time. Membership fees are non-refundable except as expressly stated in the applicable membership agreement.

6. Consumer Visits

Consumer access to Forma during designated Consumer Experience Days may require pre-registration. By registering and visiting Forma, you agree to comply with all posted facility rules and the directions of Forma staff.

7. Intellectual Property

All content on the Platform — including text, graphics, logos, images, renders, video, software, and design — is the property of Forma Space Inc. or its licensors and is protected by Canadian and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Platform content without our prior written consent.

8. Prohibited Conduct

You agree not to: use the Platform for any unlawful purpose; interfere with the operation of the Platform or its infrastructure; attempt to gain unauthorized access to any part of the Platform; scrape, crawl, or harvest data from the Platform without consent; impersonate any person or entity; or upload content that is defamatory, obscene, or infringing.

9. Disclaimer of Warranties

The Platform is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Forma Space Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Platform or services. Our total liability shall not exceed the amount paid by you to Forma, if any, in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Forma Space Inc. and its affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Platform or violation of these Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by updating the “Last updated” date at the top of this page. Your continued use of the Platform after any changes constitutes acceptance of the updated Terms.
